Acquisition Due Diligence

After an LOI is signed there is a significant amount of due diligence required before a deal is closed. TAPPA has been involved in over 50 market due diligence projects for clients over the years, primarily assisting in obtaining market and competitive due diligence.  Many of the projects involve Voice-Of-The-Customer (VOC) research. This entails having discussions with current customers of the acquisition candidate to get a perspective of their current level of satisfaction with the acquisition candidate versus other competitors in the market overall on specific criteria such as: product quality; customer service; technical service; on-time delivery; price (in terms of value); relationships with key contact(s), etc. It also involves obtaining information on market trends that could impact, either negatively or positively, the use of specific products. Information on anticipated future purchases by each customer from the acquisition candidate and other suppliers is typically also obtained in these types of projects on a best-efforts basis. TAPPA Group conducts these types of projects primarily for private equity firms as well as for established strategic manufacturing businesses interested in expansion through acquisitions.
